ProPest Hub End-User License Agreement
This End-User License Agreement (the “Agreement” or “EULA”) governs access to and use of ProPest Hub, a business operating system for pest-control companies provided by ProPest Hub LLC. ProPest Hub is a multi-tenant software-as-a-service platform used by subscribing businesses and their authorized users.
1. Acceptance of the Agreement
By accessing, activating, signing in to, or using ProPest Hub, you agree to be bound by this Agreement. If you use ProPest Hub on behalf of a company or other organization, you represent that you are authorized to use the service for that organization and that the organization is responsible for use by its Authorized Users. If you do not agree to this Agreement, do not access or use the software.
2. License / Right to Use
Subject to this Agreement and any applicable commercial terms, ProPest Hub LLC grants each subscribing organization, authorized trial or pilot participant, and its Authorized Users a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use ProPest Hub for the organization’s legitimate internal business purposes during the period in which access is authorized.
This Agreement provides a right to use the hosted service. It does not transfer ownership of the ProPest Hub software or any underlying intellectual property.
3. Authorized Users and Account Responsibility
The subscribing organization is responsible for deciding who may use its ProPest Hub workspace and for maintaining appropriate roles, permissions, credentials, and access practices. Authorized Users must use their own permitted credentials and must protect account information from unauthorized use.
The customer organization is responsible for activity performed through accounts it authorizes, except to the extent caused by ProPest Hub LLC’s breach of an applicable obligation or as otherwise required by law. Suspected unauthorized access, compromised credentials, or improper use should be reported promptly.
4. Customer Responsibilities
Customers and Authorized Users must provide materially accurate information when using ProPest Hub, use the service lawfully, and maintain the licenses, certifications, registrations, insurance, permits, qualifications, approvals, and other authority required for their own business activities.
Customers remain responsible for their business decisions, professional judgment, personnel supervision, regulatory obligations, customer communications, accounting treatment, and other decisions that require a qualified or authorized person.
5. Acceptable Use / Prohibited Conduct
You may not use ProPest Hub to:
- violate applicable law, regulation, court order, or third-party rights;
- gain or attempt to gain unauthorized access to another account, tenant, system, network, record, or credential;
- share credentials in a manner prohibited by the customer’s account rules or applicable security requirements;
- bypass, disable, defeat, probe, or interfere with authentication, authorization, tenant boundaries, security features, rate limits, or other protective controls;
- reverse engineer, decompile, disassemble, or attempt to derive source code, except to the limited extent such restriction is prohibited by applicable law;
- introduce malware, malicious code, destructive content, automated abuse, or other harmful material;
- scrape, harvest, extract, mirror, or exploit the service or its data in an unauthorized manner;
- interfere with service availability, overload the platform, or disrupt another customer’s use;
- misuse a third-party integration, connected account, payment service, communication provider, or other external service;
- upload or use content that infringes intellectual property, privacy, confidentiality, publicity, or other rights; or
- use ProPest Hub to facilitate fraud, impersonation, unlawful surveillance, or other abusive conduct.
6. Subscription and Billing
Paid access may be governed by the customer’s selected plan, order, subscription, pilot agreement, promotional arrangement, or other commercial terms. ProPest Hub LLC may offer different plans, pilots, grandfathered arrangements, usage allowances, service-capacity structures, feature entitlements, or other commercial models.
Pricing, included usage, billing frequency, renewal terms, taxes, payment method, cancellation rights, and other commercial terms are determined by the applicable order, subscription flow, or written agreement and are not hard-coded into this EULA.
7. Third-Party Services and Integrations
ProPest Hub may allow customers to connect or interact with third-party services such as accounting, communications, calendar, payment, mapping, identity, or other business providers. Those services are provided by independent third parties and may be governed by their own terms, privacy policies, fees, availability, eligibility requirements, and technical limitations.
ProPest Hub LLC does not own or control third-party services merely because the platform can connect to them. A third party may change, restrict, suspend, or discontinue its service or integration capabilities. Customers are responsible for maintaining the accounts and permissions they choose to connect.
8. Customer Data
As between ProPest Hub LLC and the customer, the customer retains ownership of the business, customer, employee, operational, document, and other data that the customer or its Authorized Users lawfully provide to ProPest Hub (“Customer Data”).
The customer grants ProPest Hub LLC the limited rights reasonably necessary to host, store, process, transmit, display, organize, secure, back up, restore, support, and otherwise handle Customer Data for the purpose of providing, maintaining, securing, supporting, and improving the service, subject to this Agreement, the Privacy Policy, and any applicable written agreements.
The customer represents that it has the rights and lawful authority needed to provide Customer Data to ProPest Hub and to instruct ProPest Hub to process that data for the customer’s business purposes.
9. Privacy
ProPest Hub’s public Privacy Policy describes how ProPest Hub LLC handles personal information in connection with its website and services. The current Privacy Policy is available at https://propesthub.com/privacy.
Additional data-processing terms may apply where required by law or by a separate written agreement.
10. Intellectual Property
Except for Customer Data and third-party materials, ProPest Hub LLC retains all right, title, and interest in and to ProPest Hub and its related intellectual property, including software, source and object code, user interfaces, documentation, designs, workflows, branding, trademarks, service marks, inventions, proprietary methods, know-how, compilations, improvements, and other protected materials.
No rights are granted except the limited use rights expressly stated in this Agreement or another applicable written agreement.
11. Feedback
If a customer or Authorized User voluntarily provides ideas, suggestions, recommendations, or other feedback about ProPest Hub, ProPest Hub LLC may use that feedback to evaluate, improve, develop, and operate the service without restriction or compensation, provided that doing so does not transfer ownership of Customer Data to ProPest Hub LLC.
12. Software Updates and Changes
ProPest Hub is an evolving software service. ProPest Hub LLC may update, improve, modify, replace, add, remove, or discontinue features, interfaces, workflows, integrations, or technical components as the service develops, subject to applicable contractual obligations and law.
Where a change materially affects an applicable paid service commitment, ProPest Hub LLC will address the change in accordance with the governing commercial agreement or applicable law.
13. Availability, Maintenance, and Support
ProPest Hub LLC works to provide a reliable business service and may perform maintenance, upgrades, security work, provider changes, or emergency repairs. Service may occasionally be interrupted by maintenance, internet conditions, infrastructure events, third-party provider outages, device or browser limitations, force majeure events, or other circumstances.
Support availability, response targets, service levels, and any specific uptime commitments apply only if stated in the customer’s plan, order, or separate written agreement. Nothing in this section limits obligations that cannot lawfully be limited.
14. AI-Assisted Features
ProPest Hub may provide AI-assisted functionality intended to help Authorized Users perform business tasks, understand authorized information, draft content, navigate supported workflows, or organize work. AI-assisted outputs may require review, correction, confirmation, or additional information before they are used.
Customers and Authorized Users remain responsible for reviewing AI-assisted outputs and for exercising any professional, regulatory, accounting, legal, safety, licensing, or operational judgment required for the underlying decision or action. AI-assisted functionality does not replace the authority of a licensed, certified, qualified, or otherwise responsible human where such authority is required.
15. Regulatory / Professional Responsibility
ProPest Hub can assist with business workflows, documentation, record organization, operational consistency, compliance organization, scheduling, evidence collection, and related software functions. The subscribing pest-control company remains responsible for complying with all laws, regulations, pesticide labels, licensing and certification requirements, safety obligations, professional standards, customer commitments, and decisions requiring a licensed, certified, qualified, or authorized person.
Software workflow support does not itself create, replace, extend, or guarantee a regulatory approval, professional license, pesticide-label authorization, inspection result, legal conclusion, or other governmental or professional determination.
16. Suspension and Termination
ProPest Hub LLC may suspend or terminate access for nonpayment, material breach of this Agreement or an applicable commercial agreement, unlawful activity, material security threats, abuse, fraudulent activity, misuse of the service, or as otherwise permitted by the applicable subscription agreement or law. Where reasonably appropriate, ProPest Hub LLC may provide notice and an opportunity to cure before suspension or termination.
After termination or expiration, the customer’s right to access and use the service ends except for any limited access expressly provided for account recovery, billing resolution, data export, transition, or other obligations under an applicable agreement or law.
17. Data Export / Retention
Customers should export information they are entitled to retain before termination or expiration when export functionality or contractual transition rights are available. Customers are responsible for maintaining their own records to the extent required by their legal, professional, tax, regulatory, insurance, employment, or customer obligations.
Retention, backup, deletion, restoration, offboarding, and post-termination handling may be subject to the Privacy Policy, the customer’s applicable agreement, operational backup practices, legitimate security or legal requirements, and applicable law. Backup or recovery systems are not intended to create indefinite post-termination storage rights unless expressly agreed.
18. Disclaimers
Except for any express warranty stated in an applicable signed agreement, ProPest Hub is provided on an “as available” and “as is” basis to the extent permitted by law. ProPest Hub LLC does not warrant that every feature, integration, third-party service, AI-assisted output, or network connection will be uninterrupted, error-free, or suitable for every customer-specific purpose.
To the maximum extent permitted by applicable law, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement are disclaimed, except where such warranties cannot lawfully be disclaimed. These disclaimers do not limit express obligations that ProPest Hub LLC has accepted in a separate written agreement or obligations that applicable law does not permit to be disclaimed.
19. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost business opportunities, loss of goodwill, or loss of anticipated savings, arising from or related to the service, even if advised that such damages are possible, except to the extent such limitation is prohibited by law or an applicable signed agreement provides otherwise.
Unless a separate signed agreement establishes a different lawful limitation, ProPest Hub LLC’s aggregate liability arising out of or relating to ProPest Hub will not exceed the amounts paid or payable by the applicable customer to ProPest Hub LLC for the affected service during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in this Agreement limits or excludes liability to the extent applicable law does not permit that liability to be limited or excluded. Any exclusions or special treatment expressly stated in a signed commercial agreement also remain applicable.
20. Indemnification
To the extent permitted by law and subject to any applicable signed agreement, the customer will defend, indemnify, and hold harmless ProPest Hub LLC and its officers, members, employees, and agents from third-party claims, damages, losses, liabilities, costs, and reasonable attorneys’ fees arising from: (a) unlawful use of ProPest Hub by the customer or its Authorized Users; (b) Customer Data or other content supplied by the customer that infringes or violates a third party’s rights; (c) misuse of third-party services or integrations through the customer’s accounts; or (d) the customer’s material violation of this Agreement, except to the extent the claim was caused by ProPest Hub LLC’s own breach, negligence, willful misconduct, or other responsibility that cannot lawfully be shifted.
21. Governing Law
This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent applicable federal law or another law that cannot be contractually displaced governs a particular issue.
22. Changes to the EULA
ProPest Hub LLC may update this EULA as the service, law, or business requirements evolve. The current version will be posted at https://propesthub.com/eula with an updated effective or “Last Updated” date.
Material changes will become effective as stated in the updated EULA or in any notice required by an applicable agreement or law. Continued use after an updated EULA becomes effective constitutes acceptance to the extent permitted by law. If a separate signed agreement requires a different change process, that process controls.
23. General Terms
If any provision of this Agreement is held unenforceable, the remaining provisions remain in effect and the unenforceable provision will be enforced to the maximum extent permitted by law. Failure to enforce a provision is not a waiver of the right to enforce it later. Headings are for convenience only.
The customer may not assign or transfer this Agreement or its access rights except as permitted by an applicable signed agreement or with ProPest Hub LLC’s written consent. ProPest Hub LLC may assign this Agreement in connection with a merger, reorganization, sale of substantially all relevant assets, or similar business transaction, subject to applicable law and contractual obligations.
